NVIDIA Signs $6 Billion Technology Licensing Agreement with Poolside

NVIDIA has signed a technology licensing agreement worth $6 billion with AI startup Poolside and plans to hire over 100 engineers to develop an open-weight AI model. NVIDIA will license Poolside's technology and separately invest $1 billion to acquire equity. This deal combines licensing with personnel recruitment rather than following traditional mergers and acquisitions, allowing Poolside to remain an independent entity. NVIDIA plans to involve some of its core development team in the development of Nemotron, securing both technology and talent. Poolside is a company specialized in developing AI models for software development and coding automation, and it has released an open-weight based model. NVIDIA aims to make Nemotron a core part of its open model lineup, supporting companies by publicly sharing the model's weights and training data for customization. This agreement has raised analyses suggesting that NVIDIA is expanding its business scope beyond AI semiconductor supply to model development and developer tools. However, regulatory controversies regarding the deal structure remain, and questions about whether this agreement is designed to evade corporate merger scrutiny may be reignited.
