BSTR Holdings' plan to become a public Bitcoin treasury company through Cantor Equity Partners I ended on Aug. 20, leaving a $15 million cash obligation with two deadlines. Under the termination agreement, BSTR must pay Cantor Equity Partners I, with the first $10 million due on or before Sept. 19 and the remaining $5 million by Dec. 1. A delay of more than seven days would void specified legal protections. The July 16, 2025 business combination agreement has been entirely terminated, along with related documents and subscription agreements. Cantor Fitzgerald's engagements also ended, and BSTR intends to withdraw the Form S-4 filed for the transaction. The merger, which included a proposed 30,021 BTC treasury, never closed, and no Bitcoin sale or treasury transfer occurred. BSTR plans to continue Bitcoin treasury management outside the Cantor transaction, focusing on yield and alpha strategies. The company cited pricing pressure in Bitcoin markets and capital-market dislocation as factors limiting its strategies.
